AGREEMENT TO OUR LEGAL TERMS

We are BIDTRANSPARENCY LLC (“BidTransparency”, "Company," "we," "us," "our"), a company registered in the State of Connecticut.

We operate the website app.bidtransparency.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

BidTransparency is a cloud-based bid management platform for construction subcontractors. Users forward Invitation to Bid (ITB) emails to the platform, which automatically extracts bid details using AI and organizes them into a trackable dashboard. The platform sends automated follow-up emails and reminders, including project name, client or general contractor, contact information, due date, scope, and related bid information, and organizes them into a trackable bid board with dashboard, calendar, and table views. The platform provides status check-ins, win/loss tracking, configurable follow-up schedules, Relationship Mode reminders for user-managed follow-up, Autopilot follow-up emails sent to client contacts on the user’s behalf with the user copied, customer-directed bid decision notifications, integrations with customer-authorized systems, calendar feeds, and aggregated, de-identified, benchmark, analytics, market-statistics, or public procurement information, to help users manage bid deadlines, bid status, follow-up, and responses. Access requires a paid monthly subscription.

You can contact us by email at support@bidtransparency.com or by mail to 55 N. Main Street, Middletown, CT 06457, United States.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and BIDTRANSPARENCY LLC, concerning your access to and use of the Services, including access or use through a signed link, email link, confirmation page, or other non-account workflow. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by notifications@bidtransparency.com, as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

Contributions may include information about, or communications directed to, any person you direct the Services to contact or process, including your staff, clients, vendors, suppliers, subcontractors at any tier, general contractors, and other bid participants. Contributions are used to provide the Services, including AI extraction, bid board organization, reminders, status check-ins, Autopilot follow-up emails, customer-directed notifications, and win/loss tracking, and are not intended to be publicly viewable by other users of the Services except as enabled by your account settings or authorized use. When you create or make available any Contributions, you thereby represent and warrant that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Services, and other users of the Services to use your Contributions in any manner contemplated by the Services and these Legal Terms.
  • For any logo, trademark, trade name, service mark, or other brand asset you upload or configure through the Services, you own the mark or hold all rights, licenses, consents, and permissions necessary to grant the license in Section 9 and to authorize us to store, reproduce, display, and transmit it as described in these Legal Terms, and its use in that manner will not infringe or violate the rights of any third party.
  • You have the written consent, release, and/or permission of each and every identifiable individual person in your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of your Contributions in any manner contemplated by the Services and these Legal Terms.

  • Your Contributions do not violate the privacy or publicity rights of any third party.
  • Your Contributions do not otherwise violate, or link to material that violates, any provision of these Legal Terms, or any applicable law or regulation, and, for any link or URL you provide or direct us to send, you have the right to share the link and the material available at that address. You acknowledge that we do not host, access, review, control, or revoke access to materials available through links or URLs you provide, and that links sent by email may be forwarded or otherwise accessed by others.

Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.

9. CONTRIBUTION LICENSE

You agree that we may access, store, process, analyze, transmit, and use any information and personal data that you provide, forward, upload, or generate through the Services and your choices (including settings), including to extract bid details, maintain bid board, calendar, and table views, send reminders and status check-ins, send Autopilot follow-up emails on your behalf with you copied, manage configurable follow-up schedules, notify customer-directed recipients of bid decisions or other bid-related information, support integrations and calendar feeds enabled by you, and track bid outcomes. You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, aggregate, de-identify, analyze, create derivative works from, and otherwise process Contributions and usage data to provide, maintain, secure, improve, and develop the Services, including to create, publish, display, and commercialize aggregated, de-identified benchmarks, analytics, market statistics, performance indicators, and similar insights, provided that such outputs do not identify you as the source. Aggregated or de-identified results, benchmarks, analytics, and statistics already created may be retained and used after cancellation, termination, or deletion of your account or Contributions. Certain features may allow a customer, general contractor, or other person acting through a signed link or other customer-directed workflow to update bid status or outcome information, confirm a bid decision, and send or request the sending of notices to other subcontractors or bid participants on the customer’s or general contractor’s behalf. You are responsible for ensuring that the Services are used only with proper authority, that recipient email addresses and message content are accurate and lawful, and that you have all rights and permissions necessary for us to send, store, and process those notices, recipient lists, messages, sender details, and related records. If you enable an integration, connector, data import, data export, or similar connection between the Services and your enterprise systems or third-party services, you represent that you have the authority to provide or authorize the relevant credentials, access, and data transfers. Such customer-directed systems are not our vendors or subprocessors merely because the Services connect to them at your direction; their handling of data is governed by your agreement with that provider, and we are not responsible for their acts, omissions, security, availability, or use of data. If you enable a calendar feed or similar link-based sharing feature, you acknowledge that anyone with the applicable URL or token may be able to access the bid information made available through that feed, including project names, general contractors, and due dates, without logging in. You are responsible for controlling, sharing, safeguarding, disabling, or regenerating that URL or token and for any access obtained through it.

Your Logo and Brand Assets. The Services allow an authorized administrator of your account to upload a company logo or similar brand asset for use in communications the Services send on your behalf. You grant us a limited, non-exclusive, non-transferable, royalty-free, revocable license to store, reproduce, display, and transmit that logo or brand asset solely to provide the Services, by including it in Autopilot follow-up emails and other communications the Services send to recipients you or your authorized users direct, in previews and test messages you request, and within your account. We will not use your logo or brand assets for our own advertising, marketing, website, customer or reference lists, or any other purpose without your separate prior written permission. You may remove the logo at any time through your account settings, and we will stop including it in communications sent after removal; you acknowledge that communications already sent cannot be recalled or altered. This license ends when you remove the logo or on termination of your account, except that we may retain copies within records of communications already sent and in routine backups for the periods described in our Privacy Policy.

By submitting suggestions or other feedback regarding the Services, you agree that we can use and share such feedback for any purpose without compensation to you.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions. We are not liable for any statements or representations in your Contributions provided by you in any area on the Services. You are solely responsible for your Contributions to the Services and you expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

10. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, suspend access to aggregated, de-identified, benchmark, analytics, or market-statistics features, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof, including if we believe you submitted false data or misused such features; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

11. PRIVACY POLICY

We care about data privacy and security. By using the Services, you agree to be bound by our Privacy Policy posted on the Services, which is incorporated into these Legal Terms. The Services process information you provide, forward, upload, or generate through the Services, including ITB emails, attachments, project information, client or general contractor contact information, bid due dates, statuses, follow-up settings, communications, and win/loss outcomes, to provide and improve the Services. If we determine that a security incident requires notice under applicable law, including Connecticut data breach notification law where applicable, we will provide legally required notices in the manner and within the time required by such law. Please be advised the Services are hosted in the United States. If you access the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in the United States, then through your continued use of the Services, you are transferring your data to the United States, and you expressly consent to have your data transferred to and processed in the United States.

12. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE LEGAL TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE LEGAL TERMS OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We may add, replace, remove, or change third-party vendors, service providers, infrastructure providers, subprocessors, tools, and technologies used to provide the Services from time to time without notice to you or your prior approval, subject to our Privacy Policy and applicable law. However, we have no obligation to update any information on our Services. We will not be liable to you or any third party for any modification, vendor change, price change, suspension, or discontinuance of the Services.

We cannot guarantee the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services. Nothing in these Legal Terms will be construed to obligate us to maintain and support the Services or to supply any corrections, updates, or releases in connection therewith.

14. GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Connecticut applicable to agreements made and to be entirely performed within the State of Connecticut, without regard to its conflict of law principles.

15. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the American Arbitration Association (AAA) website. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, we will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Fairfield, Connecticut. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Fairfield, Connecticut, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Legal Terms.

In no event shall any Dispute brought by either Party related in any way to the Services be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration

22. ACKNOWLEDGEMENT OF AI LIMITATIONS

You understand and acknowledge that Artificial Intelligence (“AI”), while powerful, is a rapidly evolving technology and has inherent limitations. AI outputs may contain errors, inaccuracies, biases, or may not always be complete, current, or suitable for a particular purpose. The AI is a tool to assist, and its outputs should not be considered definitive, professional advice, or a substitute for independent human judgment, verification, or review.

We either currently or may in the future utilize AI agents and automated bots behind the scenes to manage data, optimize routing, and assist with Site operations. Users agree and accept that there may occasionally be operational glitches, data processing errors, or scheduling inaccuracies caused by these automated backend systems. Users agree that while these tools optimize our operations, Users accept and agree that they are ultimately responsible for verifying their details and data provided.

AI-Powered Bid Processing, Email, And Follow-Up Functionality:

The Service uses third-party artificial intelligence technology and related automation to process emails and materials forwarded to the platform; extract and organize project names, clients or general contractors, contact information, due dates, scopes, statuses, and related bid details; display bid information in dashboard, bid board, calendar, and table views; provide status check-ins and Relationship Mode reminders; send Autopilot follow-up emails to client or general contractor contacts on your behalf with you copied; manage configurable follow-up schedules; and support win/loss tracking. While we strive for accuracy and reliable operation, AI-generated data extractions, reminders, check-ins, schedules, communications, statuses, and outcome tracking may contain errors, omissions, delays, or incomplete information. Users are responsible for reviewing and verifying the accuracy, legality, authorization, timing, recipients, and content of extracted bid details, contact information, follow-up settings, automated communications, bid statuses, and win/loss outcomes. We are not liable for any losses resulting from inaccurate data extraction, missed or delayed reminders or follow-ups, misdirected or unauthorized communications, incorrect bid status or outcome information, or your failure to review, verify, or update information in the Services.

User Responsibility for AI Outputs:

Users agree that they are solely responsible for reviewing, verifying, validating, and ensuring the accuracy, appropriateness, and legality of any data, insights, suggestions, content, or other information they input into our Site and platform or that is generated by or through the AI features of our Site or platform before relying upon them. Users assume all risks associated with the use of AI.

Hold Harmless and Indemnification:

Users agree to release, indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, affiliates, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and costs of litigation) arising out of or in connection with:

  • The user's use of, access to, or reliance on the Site and the platform and the AI features embedded in them.
  • Any actions taken or not taken by the user based on the outputs or suggestions of the AI used now or in the future.
  • Any inaccuracies, errors, omissions, or biases in the AI's outputs, whether or not based on inaccuracies, typos, or misinformation.
  • Any intellectual property infringement, defamation, privacy violations, or other legal claims arising from content or other information generated by our use of AI and subsequently used or disseminated by the user.
  • Any violation of applicable laws or regulations by the user in their use of the AI or its results or suggestions.
  • Any third-party claims directly or indirectly related to the user's use of the AI.
  • The user’s violation of any terms or conditions of these Legal Terms.

23. MISCELLANEOUS

These Legal Terms, Privacy Policy, and any other policies, agreements, or operating rules in respect to the Services, that you electronically agree to, constitute the entire agreement and understanding between you and us regarding these terms. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Legal Terms and the lack of signing by the parties hereto to execute these Legal Terms.
